As each of these places has laws that may differ from those of the Province of Ontario, Canada, by accessing this Site, you agree that all matters relating to access to, or use of, the Site, or any other hyperlinked website, shall be governed exclusively by the laws of the Province of Ontario and the laws of Canada applicable to the Province of Ontario, without regard to the conflicts of laws principles thereof. TERMS OF SALE

Well.ca reserves the right to accept or deny any order after placement, at our sole discretion.

DENIAL AND CANCELLATION OF ORDERS

Well.ca reserves the right to deny and cancel orders anytime after placement, for any reason, at our sole discretion. You will be notified by email, to the email address given during checkout of the decision made by Well.ca to cancel your order. Should your order be cancelled, Well.ca will not be obligated to fulfill/ship your order. After cancellation has taken place, Well.ca will return all monies exchanged, back to the original payment method used during checkout.

Orders may be denied and cancelled in whole, or in part by Well.ca for any the following reasons (though not limited to):

  • Limited product quantities available to fulfill your order
  • Inaccuracies or errors related to product within your order
  • Suspected intent to resell
  • Shipping to any of following locations: warehouses, freight forwarding businesses, hotels/motels
  • Product Recalls, affecting an item within your order
  • Issues determined by Well.ca's fraud prevention department

RETURNS, REFUNDS

Well.ca is not responsible for returned items until the item(s) arrive at our Warehouse/Distribution Centre and are physically accounted for by members of our staff. If returned items to Well.ca do not meet the requirements of our return policy (including but not limited to: opened, used, not resalable condition, past return window, final sale) we may, at our sole discretion charge a restocking fee and/or issue a partial refund. Well.ca reserves the right to deny a request to return item(s) at our sole discretion, for any of the following reasons (though not limited to):

  • The returned items do not meet the requirements of our returns policy
  • There are issues related to the requesting Well.ca account as determined by Well.ca fraud prevention department.

Risk of Loss

Risk of loss and title for items purchased from Well.ca pass to the purchaser upon delivery to the carrier.

REFUSAL OF SERVICE - ACCOUNT TERMINATION

Well.ca does not tolerate abusive or inappropriate language or behaviour. Should a customer exhibit abusive, inappropriate or aggressive behaviour, the Well.ca Customer Care team will, at its sole discretion, have the right to end the telephone call, email correspondence, or online chat (as applicable).

Well.ca reserves the right to refuse service(s), and/or terminate accounts for any reason, at any time, without prior notification, at its sole discretion.

CUSTOMER RATINGS AND REVIEWS AND QUESTIONS - POWERED BY BAZAARVOICE

These Terms of Use govern your conduct associated with the Customer Ratings and Reviews and/or Questions and Answers service offered by Well.ca (the "CRR Service")

By submitting any content to Well.ca, you guarantee that:

  • You are the sole author and owner of the intellectual property rights in the content that you submit via our CRR Service, including any pictures or videos that you decide to add to your Ratings&Reviews ;
  • All "moral rights", including paternity, integrity and association rights that you may have in such content have been voluntarily waived by you;
  • All content that you post is accurate;
  • You are a resident of a Canadian Province or Territory;
  • You are at least 18 years old;
  • Use of the content you supply does not violate these Terms of Use and will not cause injury to any person or entity.

You further agree that you may not submit any content:

  • That is known by you to be false, inaccurate or misleading;
  • That infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  • That violates any law, statute, ordinance or regulation (including, but not limited to, those governing, consumer protection, unfair competition, anti-discrimination or false advertising);

You agree to indemnify and hold Well.ca (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers, including but not limited to Bazaarvoice, Inc.), harmless from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable lawyers' fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

For any content that you submit, you grant Well.ca a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

All content that you submit may be used at Well.ca's sole discretion. Well.ca reserves the right to change, condense, withhold publication, remove or delete any content on Well.ca's website that Well.ca deems, in its sole discretion, to violate the Writing Guidelines or any other provision of these Terms of Use. Well.ca does not guarantee that you will have any recourse through Well.ca to edit or delete any content you have submitted. Ratings and written comments are generally posted within two to four business days. However, Well.ca reserves the right to remove or to refuse to post any submission to the extent authorized by law. You acknowledge that you, not Well.ca, are responsible for the contents of your submission. EGIFT CARDS - WELL.CA EGIFT CARDS, POWERED BY CASHSTAR

1. General Terms
Well.ca eGift Cards are distributed by CashStar Inc., a Delaware corporation ("CashStar"). By visiting https://welldotca.cashstar.com, you agree that the laws of the State of California, without regard to principles of conflict of laws, will govern these eGift Card terms and conditions ("Ts & Cs"). These Ts & Cs are subject to change without notice. Well.ca eGift Cards are issued by Well.ca. Please refer to https://well.ca/ for additional Terms and Conditions.

2. Gift Cards
Well.ca eGift Cards are redeemable online at Well.ca.
Well.ca eGift Cards are available for purchase at https://well.ca/giftcard
With the exception of expedited shipping fees for plastic Gift Cards, no fees of any kind will be imposed on purchasers or recipients of eGift Cards in connection with the sale of Gift Cards.

3. Redemption
Gift Certificates must be redeemed through the Well.ca web site, https://well.ca, toward the purchase of eligible products. Purchases are deducted from the Gift Certificate balance. Any unused balance will be retained within the original eGift card. If an order exceeds the amount of the Gift Certificate, the difference must be paid with an additional payment method.

4. View Your Balance
To view your eGift Card balance, go to https://wwws-calgary.givex.com/Merchant or call 1-866-640-3800.

5. Returns
You may not return or cancel your Well.ca eGift Card after it is received. Purchasers who wish to cancel a Gift Card purchase order prior to its delivery to a recipient should contact Customer Support.

6. Lost or Stolen Gift Cards
If you suspect that someone has copied or stolen your eGift Card, contact Customer Support immediately. eGift Cards will not be replaced if lost or stolen without proof of purchase. eGift Cards have cash value and should be safeguarded accordingly.

7. Limitations
You may not use to purchase other eGift Cards. eGift Cards cannot be reloaded, resold, transferred for value, or redeemed for cash, except to the extent required by law. Void if reloaded, resold, transferred for value, or redeemed for cash. Unused eGift Cards may not be transferred. Total purchases for any one individual may not exceed ten thousand dollars ($10,000.00) in one calendar day.

8. Our Policies
Information that you provide when purchasing eGift Cards is subject to the Privacy Policy. CashStar and Well.ca may provide eGift Card purchasers with information about the redemption status of eGift Cards.

9. Risk of Loss
Ownership and risk of loss of eGift Cards passes to the purchaser as soon as we send our confirmation to the recipient. We are not responsible for lost or stolen eGift Cards. If you have any questions, please see the FAQs.

11. Payment Methods
Well.ca eGift Cards may be paid for with a valid Visa, MasterCard, American Express.

12. Delivery Information and Requirements for Gift Card Purchasers
All orders of eGift Cards are subject to a process that compares purchaser information provided on the web site with information about the purchaser provided by the purchaser's financial institution. If there is a discrepancy, your eGift Card order may be delayed until it can be corrected.

If you have concerns about your order, please contact Customer Support at https://welldotca.cashstar.com/self_service/v2/about/customer_support/contact . Please refer to your order number, or be ready to supply your email address.

We are not responsible for eGift Cards that are undeliverable or not received due to your failure to enter an accurate email address for the recipient. Please check to make sure the email address of the recipient is correct and contact Customer Support if you suspect the recipient did not receive his/her eGift Card. Should an email be returned to us due to inaccurate delivery information for the recipient, we will attempt to contact you for a valid email address.

13. Reasons for Failed Delivery of eGift Cards
eGift Cards are delivered via email. If you have confirmed the recipient's email address but the eGift Card has not been viewed within a reasonable period after the requested delivery date, following is a list of the most common reasons why delivery may have failed:

  • -Recipient's firewall blocked the email
  • -Email inbox is over size limit
  • -Invalid email address

If a spam filter is blocking Well.ca Gift Cards emails from getting to an inbox, the email options will need to be modified so that Well.ca Gift Cards emails are not considered spam.

14. Personalized Messaging
If you wish to add a personal message to an eGift Card, simply type your message in the Message field during the purchase process. Personal messages are limited in length to the space provided on the eGift Card. There is no additional charge to include a personalized message. If we find inappropriate, offensive or otherwise objectionable messages, we reserve the right to cancel them.

15. Limitation of Liability
CASHSTAR AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO EGIFT CARDS, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IF CODE IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH EGIFT CARD. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

16. Disputes
These Ts & Cs shall be construed in accordance with and governed by the laws of the United States and the State of California, without reference to their rules regarding conflicts of law. You hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in San Francisco County, California, USA in all disputes arising out of or related to the eGift Cards or the welldotca.cashstar.com site.

Risk of Loss
The risk of loss and title for Gift Certificates pass to the purchaser upon our electronic transmission to the recipient. We are not responsible if a Gift Certificate is lost, stolen, destroyed or used without your permission.

Fraud
Well.ca will have the right to close customer accounts and request alternative forms of payment if a fraudulently obtained Gift Certificate is either redeemed through the Well.ca web site or is redeemed and used to make purchases on the Well.ca web site.

Limitation of Liability
WELL.CA, INC. ("WELL.CA") AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT CERTIFICATES, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT A GIFT CERTIFICATE CODE IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH GIFT CERTIFICATE. CERTAIN LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

WELL.CA CONTEST RULES AND REGULATIONS

Eligibility

NO PURCHASE NECESSARY.

This Contest is open to legal residents of Canada (except Quebec). VOID WHERE PROHIBITED BY LAW. Employees of Well.ca and, where applicable, the Contest Sponsor ("Contest Sponsor"), their respective parents, affiliates, subsidiaries, advertising and promotional agencies, and the immediate family members and those with whom they are domiciled each are not eligible.

Please check each individual Contest entry form and/or Contest announcement for age restrictions and/or special instructions.

How to Enter

The Entrant must fill out the appropriate Contest entry form or follow Contest directions in full to be eligible.

By entering the Contest, the Entrant consents to the release of his/her name. The Entrant declares to have complied with the Contest Rules. Further, the winner must conform to all directions given by the Contest organizers or his/her participation in the Contest will be denied.

All entries become the property of Well.ca and will not be returned to entrants.

Contest Period

All entries must be received by 12:00 p.m. (Eastern standard time) on the advertised deadline date of the Contest.

Prize

The prize is neither refundable nor transferable and cannot be extended. Documents once issued in the name of the winner are not transferable or refundable. Note that any and all applicable taxes and issuance fees are the sole responsibility of the winner.

Prize must be accepted as awarded and no cash equivalent is available. NO SUBSTITUTION OF PRIZES IS PERMITTED EXCEPT BY WELL.CA OR CONTEST SPONSOR AT ITS SOLE DISCRETION. WELL.CA/CONTEST SPONSOR RESERVES THE RIGHT TO SUBSTITUTE ANY PRIZES WITH ANOTHER PRIZE OF EQUAL OR GREATER VALUE. PRIZES ARE NON-TRANSFERABLE AND ARE NOT REDEEMABLE FOR CASH OR CREDIT.

Winner Selection and Qualification

A random draw will be executed by Well.ca/Contest Sponsor for the prize from all eligible entries received on or before the Contest closing date. The odds of winning a prize will depend upon the total number of eligible entries received on or before the applicable Contest closing date. A selected entrant who has not successfully filled all the mandatory fields will be deemed to have forfeited the prize and Well.ca/Contest Sponsor shall be entitled to select a new name from the qualified entrants. Prize winners will be emailed or phoned and may be required to complete and return a release form in order to redeem their prize. Return of email notification as undeliverable after 3 attempts or return of mailed prize as undeliverable will result in forfeit of prize. By entering this Contest the entrants automatically agree to accept and abide by these General Rules and Regulations.

Restrictions, conditions, and limitations apply.
